CORPORATE PARALEGAL

Location: ATLANTA, GEORGIA
Our client, the world's largest provider of temperature controlled warehousing and distribution services in the US, is seeking a Corporate Paralegal to join our team at our Corporate Office in Atlanta, GA (Sandy Springs/Perimeter area).

 
Primary Responsibility: 

Assist and provide a range of legal support and administration to Legal Counsel and business executives in daily activities and projects

Essential Functions:
  1. Assist General Counsel and Corporate Secretary with all aspects of corporate governance and Board functions. Primarily focused on the preparation, fling, organization and maintenance of corporate books, records, certificates, awards, options and related documents. Prepare and file annual reports and other filings as needed with state and federal regulators.  
  2. Assist in matters involving of the Real Estate management function  including the drafting and administration of company leases, customer rental agreements and ancillary documents including subleases, licenses, subordination agreements, and other real estate documents.
  3.  Maintain Intellectual Property files and records to include trademark, copyright filings and certificates.
  4. Review and analyze other business documents as needed.
  5. Provide assistance with litigation matters to include discovery and subpoena responses, litigation holds, witness location and preparation.
  6. Draft, negotiate and facilitate signatures and track documents in process.  Assist with follow up matters on executed contracts and documents.
  7. Liaison to Finance group supporting the Companys financing, acquisition, tax and other efforts. Perform Legal research and public searches (i.e., UCC).
  8. Interact with outside counsel, internal clients and customers.
  9. Perform research and data collection.
  10. Assist with the management of the Companys Document Retention and Destruction Policy.
  11. Administrative responsibilities include assistance managing the Companys contract database information system together with the related physical files, including the update and maintenance of central on original filing, copying and faxing documents as requested.
  12.  Other duties upon request.
Experience and Skills
Required Experience: 
Education, Training & Professional Experience:
  • 10+ years work experience in a Paralegal role
  • Prior in-house experience preferred.
  • Paralegal certification preferred
  • Strong computer skills including knowledge of Microsoft applications and contract databases including specifically Excel, Access.
  • Experience with CounselLink or other matter management software system preferred.
